Company Restorations: Letter of Consent
The Chief State Solicitor’s Office represents the Minister for Public Expenditure and Reform and the Registrar of Companies in applications by members, directors and creditors to restore a company struck off pursuant to the Companies Acts. A letter of consent to the restoration of a company under Section 738 of the Companies Act 2014 issues from this office on behalf of the Minister for Public Expenditure and Reform and the Registrar of Companies.
- The application to restore should be made on notice to and served on:
- Registrar of Companies, Enforcement Section, Bloom House, Gloucester Street Lower, Dublin 1
- The Minister for Public Expenditure, NDP Delivery and Reform, State Property Section, Government Buildings, Upper Merrion Street, Dublin 2
- The Chief State Solicitor, Osmond House, Little Ship Street, Dublin 8
- The Revenue Commissioners represented by the Revenue Solicitor, Ship Street Gate, Dublin Castle, Dublin 2
- In the case of a creditor’s application: The secretary and all persons listed as directors of the company (usually also joined as Notice Parties to the proceedings)
- Proceedings should be served on this office at least 14 days prior to the return date.
- The Affidavit on which the application to restore is grounded must state that no claim is made by the Petitioner that the State has in any way, directly or indirectly, intermeddled with the assets of the Company and that s/he is not aware of any such claim being made by a third party.
- A fee of €350 in respect of issuing the letter of consent is due to the Chief State Solicitor’s Office. This fee must be discharged prior to the issuing of the letter of consent and should be paid by electronic fund transfer. Bank account details can be obtained by sending an e-mail to accountsmail@csso.gov.ie. Full remittance details of all transfers should be forwarded to that e-mail address above. The name of the company in respect of which the application is made should be used as a reference for each EFT.
